参与Nuffnang.com.cn线上项目，成为我们网络发布者的成员，您应同意遵守此项协议的所有条件条款，以及服务的所有政策及规定。如果您不同意下述条件条款，请立即停止使用服务，并且终结此项协议。

“您”或者“发布者” 是指由任何实体或其关联方提交的注册表格经过确认后，任何以该实体名义的代理或者网络行为，也都要遵守本协议的条款。

1) Nuffnang.com.cn的博客广告网络的参与。 参与项目要首先经过Nuffnang.com.cn的预先核准，并在此条件下始终遵守项目规则（“项目规则”），详情登陆 http://www.nuffnang.com.cn/terms-conditions.

Nuffnang.com.cn有权自行决定在任何时间拒绝任何申请人或者参与者的申请请求。注册加入项目，则表示您已满18周岁，并且同意Nuffnang.com.cn可能为第三方服务，并且/或者Nuffnang.com.cn曾经提供过广告。本协议及项目政策中提及的任何关于个体“网页”、“网站”、“网站页面”诸如此类，都是站点的一部分，都有RSS功能覆盖。由同一个体或实体持有的多个账户应该立即终止运行，除非经过Nuffnang.com.cn书面表示授权同意（包括电子邮件方式）。

使用本项目，您必须为已满18岁的公民，或者中国法律规定的合法年龄。Nuffnang.com.cn拒绝承担、履行与未成年人签订的合同义务。任何与未成年人缔结的合同将被认为是与该未成年人之合法监护人缔结之合同，并与其合法监护人绑定。包括但不限于所有财务支出以及由于未成年人缔结协议后之行为产生的法律责任。

2) Nuffnang.com.cn指定唯一联系方。 任何关于在您网站上发布的广告或者链接的必要联系，需直接与Nuffnang.com.cn沟通，而不是其他任何广告商。

3) 陈述及担保。 一旦与Nuffnang.com.cn注册，则表示您同意陈述及担保如下内容：

  •    • 当您注册之时提供给Nuffnang.com.cn的所有个人信息均属实并准确；
  •    • 您是每个站点的实际拥有者，或者为了协议和项目规定，您授权以所有站点的名义进行实际；
  •    • 您拥有所有必要的权利权限从而缔结本协议，并且根据协议进行相关操作。
  •    • 另外，您陈述并担保每个网站以及其中所显示的内容，都: (i)遵守所有适当法律、法规、条例和规章制度；(ii)不会违反，并且没有违反针对任何个人或者单位的权利，包括但不限于知识产权、公共权、隐私权、消费者保护权利、产品责任权、民事侵权行为或者契约理论等；(iii)不涉及淫秽、仇恨、种族歧视或者其他暴力内容。

 

4) 各方责任。 您是所有站点的唯一责任方，包括所有内容、材料、维护以及相关运行。适当贯彻Nuffnang.com.cn具体事项，遵守本协议各项规定，包括遵守项目政策。

由Nuffnang.com.cn自主斟酌在任意情况下，我方保留调查任何可能违反本协议行为之权利，包括但不限于本协议反对之，使用应用程序企图进入广告或订单的活动。Nuffnang.com.cn对您的网站上的任何内容不负任何责任，包括网站和Nuffnang.com.cn之间的数据资料传送失败。另外，任何广告如果没有适当显示给最终用户，Nuffnang.com.cn没有通知您此项消息的义务。

5) 实施和运行广告。您始终同意遵守所有由Nuffnang.com.cn制定的条件，以便于服务适当的交付、显示、追踪和报告广告，包括但不限于，不修改JavaScript以及其他由Nuffnang.com.cn用任何方式提供给您的项目，除非您经过Nuffnang.com.cn书面授权（包括电子邮件形式）。所有内容和基于网站的广告会由Nuffnang.com.cn进行分组，并按照Nuffnang.com.cn提供的标准格式以广告单元（此等广告和/或者链接的分组统称为“广告单元”）的形式链接（适当的地方）给最终用户。

您可以选择经由Nuffnang.com.cn同意的格式在关联网站上显示广告，但是您要承认并同意此等广告和/或者链接：(i)只能在关联网站上显示，并且针对每条广告Nuffnang.com.cn都会随时进行审查批准；(ii)要遵守广告放置准则进行广告位置的设置。另外，需您同意，如果您可能在网站页面上显示不止一个(1)广告单元时，则不应在已包含Nuffnang.com.cn关联客户（例如，您的网页寄存公司）广告同一页面上显示多其他广告单元，除非您得到Nuffnang.com.cn的授权允许。

6) 服务滥用。 您不应该授权、设法获得或者鼓励第三方：

  •    • 编辑、修改、过滤或者更改包含在任何广告中的信息顺序。或者移除、覆盖、最小化任何广告；
  •    • 引导最终用户离开任何广告商页面；当最终用户直接进入广告商页面时，提供不同的广告页面版本；
  •    • 调整、最小化、移除广告，或者当最终用户点击广告任意部分进入页面时阻止页面完全显示；
  •    • 散布任何广告同广告商页面之间的内容；或者提供除了将广告直接链接到广告商页面之外的任何内容；
  •    • 在包含色情、仇恨、暴力或者违法内容的任何错误页面、任何交流页面、任何电子邮件、或者任意网页或者网站上显示广告；
  •    • 通过使用任何应用程序、网站或者其他途径而不是您的网站进行直接或间接地进入、推介和/或者激活广告；抑或相反的，植入广告到任何应用程序、网页或者其他途径而不是您的网站。除非上述情形经过本协议的肯定认同；
  •    • 直接过着间接的通过任何自动化的、欺诈的、欺骗的、或者其他无效方式创造访问量、页面浏览量，包括但不限于重复的手动点击和自动控制装置的使用，并且；
  •    • 任何违反Nuffnang.com.cn网站上的项目政策（可能会时时修订）的行为，或者违反任何您和Nuffnang.com.cn之间签订的协议。参与任何行为和事件导致Nuffnang.com.cn蒙受声誉损失、遭受非难、导致名誉或者名声贬低。您要承认，任何试图参与或者违反上述内容的行为都是对本协议的重大违约，我们可能会针对您追究任何或所有适当法律以及公平补救方法，包括立刻终止您的账户或者终结本协议，同时寻求所有适当的民事赔偿或者刑事责任。

 

7) 终结或者取消账户。如果在您的博客上没有Nuffnang.com.cn提供的广告运行，您可以在任意时间无原由的停止显示广告，但请注意，需提前48小时通过电邮通知我方，然后移除Nuffnang.com.cn JavaScript。您可以无缘由的在任意时间终结本协议，只需书面发送您的请求，取消您参与Nuffnang.com.cn项目的资格。在Nuffnang.com.cn收到您请求通知的10个工作日本协议被视为自动解除。

Nuffnang.com.cn可能会调查任何违反本协议的活动。Nuffnang.com.cn在任何时间、以任何理由都有自主权利终结所有或者部分项目，终结本协议，暂停或者终结任意网站的参与。

8) 保密性。 您不允许披露或使用Nuffnang.com.cn保密信息。“保密信息”是指任何直接或间接经Nuffnang.com.cn同意或者披露给您知晓的信息，无论是书面、口头或者视觉资料，而不是信息如下：(a)属于或者成为公共已知的和通常能够获取到的信息，或者(b)在您从Nuffnang.com.cn接收到以前已经属于您个人、不受保密条款制约的信息（以文字记录的文件资料）。

保密信息包括但不限于所有包含在Nuffnang.com.cn报告系统内的信息，由Nuffnang.com.cn披露或者同意您知晓的广告代码、相关条款、相关政策、其他绩效衡量机制、以及其他任何技术或者项目信息。但是，您可以允许披露由Nuffnang.com.cn追踪统计关于您网站上的来客访问量、页面浏览量、下线以及关键词，还有按照项目规定您获取的总收入。

9) 免责担保。 Nuffnang.com.cn不为如下事宜作担保：广告访问数量或者广告点击量；此等访问量和/或者点击率的交付时间；或者本协议下即将支付给您的金额。

10) 免责保证。 Nuffnang.com.cn及其许可人不为下述任何内容、以及为从广告导入及导出的链接网站任何内容负责。在法律许可的范围内，Nuffnang.com.cn及其许可人不为任何形式（无论是表述、暗示、法定或者其他），包括但不限于特殊目的的适销性和适当性，以及非侵权意见书作保证。Nuffnang.com.cn不为您通过项目获得的任何结果作保证和陈述，包括但不限于您通过项目获得盈利的数额。本项保证免责声明将适用于在法律许可的最大范围内。

11) 责任范围。您明确同意如下责任范围。Nuffnang.com.cn不为任何损失利润、替代品或替代服务采购成本负有法律义务；或者由本协议产生、与本协议相关的任何其他间接的、特殊的、意外的、惩罚性的或者从属损害负有法律义务，即使Nuffnang.com.cn已经被告知可能产生此等损失，但是无论是何种人为原因，或者由任何行为、责任理论引起的后果，Nuffnang.com.cn概不负法律责任。

在案由发生之时起的6个月内，如果已经支付给你相应补偿，6个月后Nuffnang.com.cn将不为超过数量的直接损失负责。如果您对项目的任何方面不满意，或者对使用条款的任何内容不满意，您唯一能够修正的行为即是停止项目的参与。本责任范围适用于法律许可的最大范围。

12) 付款。 根据您的博客来客访问量以及在网站上显示广告的有效访问量，您会收到相应的付款，在任意情况下，都要由通过Nuffnang.com.cn的决定。您同意，如果在收到、或者本应收到付款日期之时出现对款项存在异议或者款项短缺的情况，请在30日之内通知Nuffnang.com.cn。您需理解，在已经收到或本应收到付款日30天之内您还未提出申请，则视为您自动放弃解决款项问题之权利。

无论是由您（Nuffnang.com.cn收到您终结协议申请的形式，包括电邮）还是Nuffnang.com.cn提出终结本协议，Nuffnang.com.cn都会在提出终结协议的历月之月末起，60天内付清您的盈利余额。如果由于项目规则和条件条款没有被遵守，从而使Nuffnang.com.cn做出终结账户或者协议的决定，发布者需承认，Nuffnang.com.cn有权利根据项目规则的条款对其作出相应支付。然而，无论在何种情况下，如果盈利余额少于100人民币，Nuffnang.com.cn都不需要支付款项。尽管如上所述，Nuffnang.com.cn不需要为如下情况负法律责任：

  •    a) 根据任何由个人、bot、自动程序或相似设备制造出的来客访问量从而产生的相应盈利，包括但不限于由Nuffnang.com.cn合理确定的通过购买访问请求、虚假陈述或者要求最终用户人为制造的访问量；
  •    b) 交付给浏览器无法使用JavaScript用户的广告；
  •    c) Nuffnang.com.cn本身产品和服务推广之广告。

 

在Nuffnang.com.cn合理调查任何前述违反本协议行为期间，我方保留拒绝付款、以及收回已付款项的权利。另外，如果在您的网站上所展示的广告持有之广告商拖欠相应广告款项，我方也保留拒绝付款的权利。

另外，如果您逾期未交付Nuffnang.com.cn任一项目的费用，我方保留拒绝向您付款的权利，直到所有未偿付的款项完成交付或者您所持有的项目盈余抵消了未偿付的部分。为保证适当付款，您是提供并且保证账户准确的联系和付款信息唯一责任方。您同意支付所有与项目关联的适当税费以及政府单位强制收取的费用。Nuffnang.com.cn可以在任意时间更改其价格和/或付款结构。

如果您质疑项目内的任何付款交易，则必须在此等付款交易30天内书面通知Nuffnang.com.cn；如果没有通知Nuffnang.com.cn，则视为自动放弃该项权利。款项数额只能根据Nuffnang.com.cn所持有的记录进行计算。其他任何计算方法和统计数据都不为Nuffnang.com.cn所接受并且在本协议中也无法起到任何作用。本项目下产生的款项支付只能用于您个人，而不能转移、或者以任何形式传递给第三方（比如您管理的网站所得到的分配要求分别支付），除非经由Nuffnang.com.cn书面明确授权同意（包括电子邮件形式）。

Nuffnang.com.cn采用银行转账的方式付款，款项将自动打入到您所提供的银行卡内。

13) 公共性。 您需同意Nuffnang.com.cn可以使用您的名字、标识作为产品展示、市场营销材料、客户清单、财务报告以及网站客户目录。如果您希望使用Nuffnang.com.cn的商品名、商标、标识、域名以及其他任何Nuffnang.com.cn的品牌特征（“品牌特征”），您可以使用，只要您的使用遵守本协议，并且您同意不得：

  •    • 将Nuffnang.com.cn的品牌特征作为最突出的元素显示在您的网页上；
  •    • 通过任何形式利用Nuffnang.com.cn的品牌特征，暗示您与Nuffnang.com.cn的关联、从属关系或者受Nuffnang.com.cn支持，从而表明网页编辑内容代表了Nuffnang.com.cn或其职员的观点和意见。
  •    • 在任何包含了成人内容、支持赌博或者其他违反法律行为的网页上显示Nuffnang.com.cn的品牌特征，
  •    • 以在Nuffnang.com.cn看来具有欺骗性的、诽谤性的、淫秽的、侵权的等令人不快的形式显示Nuffnang.com.cn品牌特征。
  •    • 移动、曲解或者更改任何Nuffnang.com.cn品牌特征的元素。

 

14) 保障条款。 如果由于您使用本项目、网站和/或者由于您违反本协议相应条款而引起、产生不当后果，您需同意保障和保护Nuffnang.com.cn、其代理、从属单位、股东、子公司、董事、高级职员、普通员工和适当第三方（例如相关广告商、联合伙伴、许可人、持牌人、顾问和承包人）（统称为“受保护人”）免受任意以及所有第三方的索赔、责任、损失以及开支（包括损赔金、和解金额以及合理的法律费用）。

15) Nuffnang.com.cn的权利。 您要承认，Nuffnang.com.cn拥有所有关于项目（包括Nuffnang.com.cn的广告服务技术，除了获得第三方许可的条目）权利和利益，包括但不限于所有知识产权（如下定义），同时您不获得任何关于项目的权利和利益，除非本协议有明确说明。

您将不会修改、改写、翻译、试图仿制、解码，反向研究、分解或者试图从任何Nuffnang.com.cn的服务、软件或者文件获取源代码；通过使用或进入项目或者相关专有信息，创造或者试图创造替代品或相似服务、产品。

您不会移除、覆盖、更改Nuffnang.com.cn的版权标识、品牌特征或者其他附属以及包括在Nuffnang.com.cn服务、软件或者文件中的所有权标识。“知识产权法”是指任何以及所有时时更新的专利权法、版权法、半导体晶片保护法、道德权利法、商业秘密法、商标法、反不正当竞争法、公开权法、隐私权法，以及任何及所有其他的所有权法，同时还包括全球范围内现在以及将来，有效地以及事实上的适用、备用、扩展、修复和重置的法律。

16) 信息使用权。根据Nuffnang.com.cn保密协议（登录 http://www.nuffnang.com.cn/privacy-policy，或者其他URL，因为Nuffnang.com.cn可能进行时时更新），Nuffnang.com.cn可以保留和使用所有您提供的信息，包括但不限于网站人口特征以及联系人信息和账务信息。您需同意，Nuffnang.com.cn可能转交和披露给第三方关于您的个人认证的信息，目的是批准使您能参与项目，也包括向司法约束力低于您所在地的第三方提供此等信息。

Nuffnang.com.cn也可能为了回应有效地法律程序而提供信息，例如法院传票、搜索票和法院指令，或者证实和行驶其合法权利，或者保护本身免于索赔。即使由第三方披露任何相关信息，Nuffnang.com.cn也否认承担所有责任，对您也并无义务。Nuffnang.com.cn可能会同广告商、商业伙伴、赞助商和其他第三方分享关于您的非个人认证消息，例如由Nuffnang.com.cn采集的关于您网站的用户、站点详细统计数据等。

17) 杂项条款。

  •    • 本协议只适用于管理Nuffnang.com.cn的广告服务。任何其他Nuffnang.com.cn产品或者服务则由不同的适用的协议管理，包括存在您和Nuffnang.com.cn之间的任何合同；
  •    • Nuffnang.com.cn保留拒绝向任何人提供服务的权利，无论以何理由抑或没有理由，完全由Nuffnang.com.cn自主决定；
  •    • 本协议适用于中国的法律，各方同意，您和Nuffnang.com.cn或者其附属单位、子公司之间的纠纷及诉讼将在中国法院进行审判。任何由本协议产生的针对Nuffnang.com.cn的诉讼都按照个人基础进行判决，不会与其他任何诉讼以及其他方的诉讼合并程序；
  •    • 您同意在要求和案由产生一年内向Nuffnang.com.cn提交申请；
  •    • 本协议是您和Nuffnang.com.cn之间关于目标物的解决方法的唯一准则，其他任何条款和协议（无论是口头、书面还是两者皆有）皆不适用；
  •    • 在本协议下，任何一方想放弃权利，都需要选择适当授权代表签署书面文件。没有其他任何行为和不行为方式产生弃权；
  •    • 各方都是独立的订约人，本协议不形成任何合资、合作关系、代理或者雇佣关系；
  •    • 除了你的保障义务，本协议没有任何第三方受益者；
  •    • 您不能转让、转售、托付本协议或者任何本协议规定下的您相应的权利和义务，即使您出卖或者转交你的网站和/或者您的RSS。任何试图转让、转售或者托付行为均无效；
  •    • Nuffnang.com.cn可以不经您的同意转让本协议或者授权委托其所有责任。转让后，Nuffnang.com.cn在本协议下将不负义务和责任；
  •    • Nuffnang.com.cn可以随时更改任何或者所有产品及服务，包括项目，而不需经过您的同意。本协议下的任何内容都不能限制Nuffnang.com.cn自主运行其业务。

BY PARTICIPATING IN THE NUFFNANG.COM.CN ONLINE PROGRAM AND BECOMING A MEMBER OF OUR NETWORK OF PUBLISHERS (a “Publisher), YOU AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT, AND ALL POLICIES AND GUIDELINES OF THE SERVICE THAT ARE INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE IMMEDIATELY DISCONTINUE USE OF THE SERVICE AND TERMINATE THIS AGREEMENT IN ACCORDANCE WITH THE TERMS AND CONDITIONS BELOW.

“You” or “Publisher” means any entity identified in an enrolment form submitted by the same or affiliated persons, and/or any agency or network acting on its (or their) behalf, which shall also be bound by the terms of this Agreement.

1) Participation in Nuffnang.com.cn’s Blog Ad Network. Participation in the Program is subject to Nuffnang.com.cn’s prior approval and under the condition that you continually adhere to the Program Policies (“Program Policies”), located at http://www.nuffnang.com.cn/terms-conditions.

Nuffnang.com.cn reserves the right to refuse participation to any applicant or participant at any time in its sole discretion. By enrolling in the Program, You represent that You are at least 18 years of age and agree that Nuffnang.com.cn may serve third party and/or Nuffnang.com.cn provided advertisements. Any reference in this Agreement or the Program Policies to an individual “Web page”, “Web site”, “Web site page” or the like that is part of the Site will also mean feeds distributed through such Web site. Multiple accounts held by the same individual or entity is subject to immediate termination unless expressly authorized in writing by Nuffnang.com.cn (including by electronic mail).

You must be at least 18 years of age, or of legal age as specified by the laws of Republic of China from time to time, in order to use the Program. Nuffnang.com.cn shall disclaim responsibility for its contractual obligation made with a minor. Any agreement entered into by a minor shall be deemed to be entered into by the said minor’s legal guardian and shall be binding on the legal guardian, including but not limited to all financial charges and legal liability that the minor may incur as a result of entering into this agreement.

2) Communications Solely With Nuffnang.com.cn. Any communication regarding any Ad(s) or Link(s) displayed in connection with Your Site(s) shall be directed to Nuffnang.com.cn and NOT to any other advertiser.

3) Representations and Warranties. By signing up with Nuffnang.com.cn, You represent and warrant the following:-

  •    • All information provided by You to Nuffnang.com.cn for enrolment in the Program is correct and accurate;
  •    • You are the owner of each Site or that You are legally authorized to act on behalf of the owner of such Site(s) for the purposes of this Agreement and the Program;
  •    • You have all necessary rights, powers, and authorities to enter into this Agreement and to perform the acts required of You in accordance with the Agreement; and
  •    • You further represent and warrant that each Site and any material displayed therein: (i) complies with all applicable laws, statutes, ordinances, and regulations; (ii) do not breach and have not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; and (iii) are not pornographic, hate-related, racists or otherwise violent in content.

 

4) Responsibilities of Parties’. You are solely responsible for the Site(s), including all content and materials, maintenance and operation thereof, the proper implementation of Nuffnang.com.cn’s specifications, and adherence to the terms of this Agreement, including compliance with the Program Policies.

In any case, Nuffnang.com.cn reserves the right to investigate, at its own discretion, any activity that may violate this Agreement, including but not limited to any use of any software application to access advertisements or any engagement in any activity prohibited by this Agreement. Nuffnang.com.cn is not responsible for anything related to Your Site(s), including without the transmission of data between Your Site(s) and Nuffnang.com.cn. In addition, Nuffnang.com.cn shall not be obligated to provide notice to You in the event that any Ad is not being displayed properly to end users of the Site(s).

5) Implementation and Operation of Ads. You agree to comply with all conditions provided by Nuffnang.com.cn from time to time to enable proper delivery, display, tracking, and reporting of Ads and including but not limited to not modifying the JavaScript or other programming provided to You by Nuffnang.com.cn in any way, unless expressly authorised in writing by Nuffnang.com.cn (including by electronic mail). All content and Site-based Ads shall be grouped by Nuffnang.com.cn and displayed with Links (where applicable) to end users of the Site(s) as ad units (such groups of Ads and/or Links collectively referred to as “Ad Units”) in standard formats as offered generally by Nuffnang.com.cn from time to time.

You may select a format approved by Nuffnang.com.cn for the display of Ad Units in connection with the Site(s), but You acknowledge and agree that Ads and/or Links: (i) shall only be displayed in connection with the Site(s), each of which may be subject to review and approval by Nuffnang.com.cn in its discretion at any time; and (ii) shall be subject to the placement guidelines set forth herein. In addition, You agree that while You may display more than one (1) Ad Unit on each Site Web page, You shall not display any Ad Unit on a page that contains Ads associated with another Nuffnang.com.cn customer (e.g., Your Web hosting company), unless authorized to do so by Nuffnang.com.cn

6) Abuse of Services. You shall not and shall not authorise, procure or encourage any third party to:-

  •    • Edit, modify, filter or change the order of the information contained in any Ad or remove, obscure or minimize any Ad;
  •    • Redirect an end user away from any Advertiser Page; provide a version of the Advertiser Page different from the page an end user would access by going directly to the Advertiser Page;
  •    • Frame, minimize, remove or otherwise inhibit the full and complete display of any Web page accessed by an end user after clicking on any part of an Ad;
  •    • Intersperse any content between the Ad and the Advertiser Page; or otherwise provide anything other than a direct link from an Ad to an Advertiser Page;
  •    • Display any Ad(s), on any error page, on any chat page, in any email, or on any Web page or any Web site that contains any pornographic, hate-related, violent, or illegal content;
  •    • Directly or indirectly access, launch, and/or activate Ads through or from, or otherwise incorporate the Ads in, any software application, Web site, or other means other than Your Site(s), and then only to the extent expressly permitted by this Agreement;
  •    • Directly or indirectly generate impressions, page views, unique visits of or clicks on any Ad through any automated, deceptive, fraudulent or other invalid means, including but not limited to repeated manual clicks and the use of robots; and
  •    • Act in any way which violates any Program Policies posted on the Nuffnang.com.cn Web Site, as may be revised from time to time, or any other agreement between You and Nuffnang.com.cn, or engage in any action or practice that reflects poorly on Nuffnang.com.cn or otherwise disparages or devalues Nuffnang.com.cn’s reputation or goodwill. You acknowledge that any attempted participation or violation of any of the foregoing is a material breach of this Agreement and that we may pursue any and all applicable legal and equitable remedies against You, including an immediate suspension of Your account or termination of this Agreement, and the pursuit of all available civil or criminal remedies.

 

7) Termination or Cancellation of Account. If there are no Nuffnang.com.cn provided advertisements being run on your blog, You may stop displaying Ads with or without cause at any time by removing the Nuffnang.com.cn JavaScript from Your Blog but not before notifying us by e-mail 48 hours in advance. You may terminate this Agreement with or without cause at any time by sending written notice of your desire to cancel Your participation in the Program to Nuffnang.com.cn. This Agreement will be deemed terminated within ten (10) business days of Nuffnang.com.cn’s receipt of Your notice.

Nuffnang.com.cn may investigate any activity that may violate this Agreement. Nuffnang.com.cn may at any time, in its sole discretion, terminate all or part of the Program, terminate this Agreement, or suspend or terminate the participation of any Site in all or part of the Program for any reason.

8) Confidentiality. You will not disclose or use Nuffnang.com.cn’s Confidential Information. “Confidential Information” means any information disclosed or made available to you by Nuffnang.com.cn, directly or indirectly, whether in writing, orally or visually, other than information that: (a) is or becomes publicly known and generally available other than through your action or inaction or (b) was already in your possession (as documented by written records) without confidentiality restrictions before you received it from Nuffnang.com.cn.

Confidential Information includes but is not limited to all information contained within Nuffnang.com.cn reporting systems, the Ad Code, these Terms, the Policies, and other performance metrics and any other technical or programming information Nuffnang.com.cn discloses or makes available to you. You may however disclose the unique visits, page views, referrals and keywords of your Site as tracked by Nuffnang.com.cn and gross payments to You pursuant to the Program.

9) No Guarantee. Nuffnang.com.cn makes no guarantee regarding the level of impressions of Ads or clicks on any Ad, the timing of delivery of such impressions and/or clicks or the amount of any payment to be made to You under this Agreement.

10) No Warranty. Nuffnang.com.cn and their licensors are not responsible for any content provided hereunder or for any site that can be linked to or from the ads. To the extent allowed by law, Nuffnang.com.cn and their licensors make no warranty of any kind, whether express, implied, statutory or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, and non infringement. Nuffnang.com.cn makes no warranty and no representation about the results you will obtain through the Program, including but not limited to any representation regarding the amount of money you will earn through the Program. This warranty disclaimer shall apply to the maximum extent permitted by law.

11) Limitations of Liability.You expressly agree to the following limit of liability. Nuffnang.com.cn will not be liable for any lost profits, costs of procurement of substitute goods or services, or for any other indirect, special, incidental, punitive or consequential damages arising out of or in connection with this agreement, however caused, and under whatever cause of action or theory of liability brought, even if Nuffnang.com.cn has been advised of the possibility of such damages.

Nuffnang.com.cn will not be liable for direct damages in excess of any amount that Nuffnang.com.cn has already paid you during the 6 months prior to the time that the cause of action arose. If you are dissatisfied with any aspect of the Program, or with any of these terms of use, your sole and exclusive remedy is to discontinue your participation in the Program. This limitation of liability shall apply to the maximum extent permitted by law.

12) Payment. You shall receive a payment related to the number of unique visits on your blog and valid impressions of Ads displayed in connection with Your Site(s), in each case as determined by Nuffnang.com.cn for its participants in the Program. You agree to notify Nuffnang.com.cn of any disputed or missing payment within thirty (30) days of the date that payment is or should have been received. You understand you will have waived the right to dispute the accuracy or receipt of payment after the thirty (30) days of the date that payment is or should have been received.

In the event the Agreement is terminated, Nuffnang.com.cn shall pay Your earned balance to You within approximately sixty (60) days after the end of the calendar month in which the Agreement is terminated by You (following Nuffnang.com.cn’s receipt of Your written request, including by email, to terminate the Agreement) or by Nuffnang.com.cn. In the event where the Account and Agreement termination is initiated by Nuffnang.com.cn due to the Program Regulations or Terms and Conditions not being adhered to, the Publisher acknowledges Nuffnang.com.cn’s right to make a payment to the Publisher based on the items as suggested in the Program Regulations. In no event, however, shall Nuffnang.com.cn make payments for any earned balance less than One Hundred China Renminbi (RMB 100). Notwithstanding the above, Nuffnang.com.cn shall not be liable for any payment based on:

  •    a) any amounts which result from unique visits generated by any person, bot, automated program or similar device, including  but without limitation through any visits solicited by payment of money, false representation, or request for end users to artificially increase unique visits as reasonably determined by Nuffnang.com.cn;
  •    b) Ads delivered to end users whose browsers have JavaScript disabled; and
  •    c) Nuffnang.com.cn advertisements for its own products and/or services.

 

Nuffnang.com.cn reserves the right to withhold payment or charge back Your account due to any of the foregoing or any breach of this Agreement or Program Regulations by You, pending Nuffnang.com.cn’s reasonable investigation of any of the foregoing or any breach of this Agreement by You, or in the event that an advertiser whose Ads are displayed in connection with Your Site(s) defaults on payment for such Ads to Nuffnang.com.cn.

In addition, if You are past due on any payment to Nuffnang.com.cn in connection with any Nuffnang.com.cn program, Nuffnang.com.cn reserves the right to withhold payment until all outstanding payments have been made or to offset amounts owed to You in connection with the Program by amounts owed by You to Nuffnang.com.cn. To ensure proper payment, You are solely responsible for providing and maintaining accurate contact and payment information associated with Your account. You agree to pay all applicable taxes or charges imposed by any government entity in connection with Your participation in the Program. Nuffnang.com.cn may change its pricing and/or payment structure at any time.

If You dispute any payment made under the Program, You must notify Nuffnang.com.cn in writing within thirty (30) days of any such payment; failure to so notify Nuffnang.com.cn shall result in the waiver by You of any claim relating to any such disputed payment. Payment shall be calculated solely based on records maintained by Nuffnang.com.cn. No other measurements or statistics of any kind shall be accepted by Nuffnang.com.cn or have any effect under this Agreement. The payments made under this Agreement are for use by You only and may not be transferred or in any manner passed on to any third party (i.e., distributed to Sites managed by You that require separate payments) unless expressly authorized in writing by Nuffnang.com.cn (including by electronic mail).

Payment is made via bank transfer to your registered bank account.

13) Publicity. You agree that Nuffnang.com.cn may use Your name and logo in presentations, marketing materials, customer lists, financial reports and Web site listings of customers. If You wish to use Nuffnang.com.cn’s trade names, trademarks, logos, domain names, and any other Nuffnang.com.cn Brand Characteristics (“Brand Characteristics”), You may do so, so long as such use is in compliance with this Agreement and you agree not to:

  •    • Display the Nuffnang.com.cn Brand Characteristics as the most prominent element on your web page;
  •    • Display the Nuffnang.com.cn Brand Characteristics in any manner that implies a relationship, affiliation or endorsement by Nuffnang.com.cn that can suggest the editorial content of the web page represents the views or opinions of Nuffnang.com.cn and its staff;
  •    • Display the Nuffnang.com.cn Brand Characteristics on any Web page that contains or displays adult content, promotes gambling, or otherwise violates applicable law;
  •    • Display Nuffnang.com.cn Brand Characteristics in a manner that is in Nuffnang.com.cn’s sole opinion misleading, defamatory, obscene, infringing or otherwise objectionable by Nuffnang.com.cn; and
  •    • Remove, distort or change any element of a Nuffnang.com.cn Brand Characteristic.

 

14) Indemnification. You agree to indemnify, defend and hold Nuffnang.com.cn, its agents, affiliates, shareholders, subsidiaries, directors, officers, employees, and applicable third parties (e.g. relevant advertisers, syndication partners, licensors, licensees, consultants and contractors) (collectively “Indemnified Person(s)”) harmless from and against any and all third party claims, liability, loss, and expense (including damage awards, settlement amounts, and reasonable legal fees), brought against any Indemnified Person(s), arising out of, related to or which may arise from Your use of the Program, the Site(s), and/or Your breach of any term of this Agreement.

15) Rights of Nuffnang.com.cn. You acknowledge that Nuffnang.com.cn owns all right, title and interest, including without limitation all Intellectual Property Rights (as defined below), in and to the Program (including Nuffnang.com.cn’s ad serving technology excluding items licensed to Nuffnang.com.cn from third parties), and that You will not acquire any rights, titles, or interests in or to the Program except as expressly set forth in this Agreement.

You will not modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from any Nuffnang.com.cn’s services, software, or documentation, or create or attempt to create a substitute or similar service or product through use of or access to the Program or proprietary information related thereto.

You will not remove, obscure, or alter Nuffnang.com.cn’s copyright notice, Brand Characteristics, or other proprietary rights notices affixed to or contained within any Nuffnang.com.cn services, software, or documentation. “Intellectual Property Rights” means any and all rights existing from time to time under patent law, copyright law, semiconductor chip protection law, moral rights law, trade secret law, trademark law, unfair competition law, publicity rights law, privacy rights law, and any and all other proprietary rights, as well as, any and all applications, renewals, extensions, restorations and re-instatements thereof, now or hereafter in force and effect worldwide.

16) Rights to Information.Nuffnang.com.cn may retain and use, subject to the terms of the Nuffnang.com.cn Privacy Policy (located at http://www.nuffnang.com.cn/privacy-policy, or such other URL as Nuffnang.com.cn may provide from time to time), all information You provide, including but not limited to Site demographics and contact and billing information. You agree that Nuffnang.com.cn may transfer and disclose to third parties personally identifiable information about You for the purpose of approving and enabling Your participation in the Program, including to third parties that reside in jurisdictions with less restrictive data laws than Your own.

Nuffnang.com.cn may also provide information in response to valid legal process, such as subpoenas, search warrants and court orders, or to establish or exercise its legal rights or defend against legal claims. Nuffnang.com.cn disclaims all responsibility, and will not be liable to You, however, for any disclosure of that information by any such third party. Nuffnang.com.cn may share non-personally-identifiable information about You, Your site users, Site-specific statistics and similar information collected by Nuffnang.com.cn, with advertisers, business partners, sponsors, and other third parties.

17) Miscellaneous Provisions.

  •    • These Terms apply only to Nuffnang.com.cn’s provision of Ads to you. Any other Nuffnang.com.cn products or services will be governed by the different terms of service applicable to such specific products or services, including any existing contract between you and Nuffnang.com.cn;
  •    • Nuffnang.com.cn reserves the right to refuse to provide services to anyone, for any reason or no reason, in Nuffnang.com.cn’s sole discretion;
  •    • This Agreement will be governed by the laws of Republic of China and parties agree that any dispute or claim between you and Nuffnang.com.cn or their affiliates and subsidiaries will be adjudicated in the courts in Malaysia. Any claim against Nuffnang.com.cn arising from the Agreement shall be adjudicated on an individual basis, and shall not be consolidated in any proceeding with any claim or controversy of any other party;
  •    • You agree to file any claim or cause of action against Nuffnang.com.cn within one (1) year of the date that the claim or cause of action arises;
  •    • This is the entire agreement between you and Nuffnang.com.cn with regard to the subject matter covered herein. Any other terms and agreements (whether verbal, written or both) are superseded;
  •    • A party can only waive rights under this Agreement by executing a written waiver signed by a duly authorized representative. No other action or inaction will constitute a waiver;
  •    • The parties are independent contractors. This Agreement does not form any joint venture, partnership, agency or employment relationship;
  •    • Except for your indemnity obligations, there are no third party beneficiaries to this Agreement;
  •    • You may not assign, resell, or delegate this Agreement or any of your rights or duties under this Agreement, even if you sell or transfer Your Site and/or Your RSS Feed(s). Any attempted assignment, resale or delegation will be void;
  •    • Nuffnang.com.cn may assign this Agreement or delegate its responsibilities without your consent. Upon assignment, Nuffnang.com.cn will have no further obligation or liability under this Agreement;
  •    • Nuffnang.com.cn may change any or all aspects of Nuffnang.com.cn’s products or services, including the Program, at any time and without notice. Nothing in this Agreement will constrain how Nuffnang.com.cn operates its business.
